1. Scope and applicability
These Terms of Service (“Terms”) govern use of this website and business dealings with Core Distribution, Inc. (“Core Distribution,” “we,” or “us”), including product development, manufacturing and sourcing coordination, wholesale distribution, and warehousing and fulfillment services.
These Terms apply where relevant to the specific quote, order, service, or commercial agreement. Not every provision applies to every transaction. A deposit, manufacturing agreement, minimum order, warehousing arrangement, or any other condition applies only if it is stated in the applicable quote, order confirmation, or written agreement.
If a signed or written agreement, quote, or order confirmation between you and Core Distribution addresses a matter covered here, that document governs that matter to the extent of any conflict.
2. Product development services
Where Core Distribution provides product development support, such as product concepts, design coordination, product planning, supplier coordination, packaging considerations, or preparation for commercial production, the scope of that support is as described in the applicable quote or agreement. Development support is provided on a coordination basis, and nothing on this website guarantees a particular design outcome, product, schedule, or commercial result.
3. Manufacturing and sourcing coordination
Where Core Distribution coordinates sourcing or manufacturing for a product, the responsibilities of each party, the products involved, and related commercial terms are set out in the applicable quote or agreement. Coordination of suppliers and production does not by itself make Core Distribution the manufacturer of a product unless an applicable agreement says so.
4. Wholesale distribution
Wholesale distribution is offered to business customers, such as retailers, commercial customers, and other applicable business buyers. Product, quantity, pricing, and delivery terms for a wholesale sale are as stated in the applicable quote, order confirmation, or commercial agreement.
5. Warehousing and fulfillment services
Where Core Distribution provides warehousing, inventory handling, commercial order preparation, distribution, or related fulfillment support, the services, any fees, and related responsibilities are as set out in the applicable quote or agreement. Warehousing and fulfillment services are provided only where such an arrangement has been agreed.
6. Product inquiries
Inquiries submitted through this website, by email, by phone, or otherwise are requests for information. Submitting an inquiry does not create an order, a contract, or any obligation for either party.
7. Commercial quotes and pricing
Quotes are provided for specific products or services and are not binding until accepted in the manner described in the quote or confirmed in writing by Core Distribution. A quote remains valid for the period it states. Pricing may change before a quote is accepted. Unless the quote states otherwise, prices do not include taxes, freight, or other charges that apply to the transaction.
8. Product availability
Product availability is subject to change. Availability is not guaranteed until Core Distribution confirms an order or reservation in writing.
9. Customer specifications
Where a customer provides specifications, requirements, artwork, or approvals, the customer is responsible for their accuracy and completeness. Core Distribution may rely on specifications and approvals as provided. Changes to specifications after acceptance of a quote or order may affect price, schedule, or availability.
10. Purchase orders
Where purchase orders are used, an order is accepted only when Core Distribution confirms it. Terms printed on a purchase order that add to or conflict with these Terms or the applicable quote do not apply unless Core Distribution agrees to them in writing.
11. Invoice-based payments
Where payment is by invoice, payment terms are as stated in the applicable quote, invoice, or agreement, and accepted payment methods will be identified there. Any late-payment charge or interest applies only if stated in the applicable quote, invoice, or agreement and permitted by law.
12. Deposits and advance payments
Deposits or advance payments apply only where stated in the applicable quote or agreement; they are not required for every transaction. Where a deposit or advance payment applies, the amount, timing, and any conditions for its application or refund are as stated in that quote or agreement.
13. Order changes and cancellations
Requests to change or cancel an order should be made in writing. Changes and cancellations are subject to Core Distribution’s written acceptance and may affect pricing, schedule, or availability. Costs already incurred for an order, including for custom or specially sourced products, may remain payable as stated in the applicable quote or agreement.
14. Production and fulfillment schedules
Production and fulfillment schedules are estimates unless expressly stated otherwise in writing. They depend on factors such as approved specifications, supplier and material availability, and the timing of customer approvals, payments, and information. Core Distribution is not responsible for delays caused by circumstances outside its reasonable control.
15. Shipping and delivery
Where shipping or delivery applies, the shipping method, charges, and delivery terms are as stated in the applicable quote, order confirmation, or agreement. Delivery dates are not guaranteed unless expressly agreed in writing. Responsibility for risk of loss during shipping follows the shipping terms agreed for the order.
16. Receiving and inspection
Customers should inspect goods promptly upon receipt and notify Core Distribution in writing of visible damage, shortages, or nonconformity with the order. Any specific notice period stated in the applicable quote or agreement applies. Products that are not reported within the applicable period may be deemed accepted, to the extent permitted by law.
17. Custom or specially sourced products
Where products are custom-made or specially sourced for a customer, they may be made or procured specifically for that customer, and cancellation, return, or exchange may be limited or unavailable, as stated in the applicable quote or agreement.
18. Returns
Returns apply only where expressly provided in the applicable quote or agreement, or where approved by Core Distribution in writing before the goods are returned. Goods returned without authorization may not be accepted.
19. Intellectual property and customer-provided materials
Customers keep their rights in materials they provide, such as designs, artwork, specifications, trademarks, and product information (“Customer Materials”). By providing Customer Materials, the customer represents that it has the right to provide them and that their use for the requested work will not infringe the rights of others, and grants Core Distribution permission to use them as needed to perform the requested services.
Core Distribution keeps its rights in its own name, logo, website content, and materials. Ownership of any designs or intellectual property developed in a project is as set out in the applicable written agreement.
20. Warranties
Warranties apply only where expressly provided in writing in the applicable quote, order confirmation, or agreement. To the fullest extent permitted by law, Core Distribution otherwise provides its products and services without warranties of any kind, including any implied warranties of merchantability or fitness for a particular purpose.
21. Limitation of liability
To the fullest extent permitted by law, Core Distribution will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or loss of business, arising out of or related to its products, services, or this website. Core Distribution’s total liability for any claim relating to a specific product or service is limited to the amount paid to Core Distribution for that product or service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
22. Use of this website
This website is provided for general information about Core Distribution, Inc. Content on the website is not an offer to sell or a commitment to supply any product or service. Submitting a form on this website does not create a contract.
23. Governing law
These Terms, and any dispute arising out of or relating to them or to dealings with Core Distribution, are governed by the laws of the State of Minnesota, without regard to its conflict-of-law principles.
24. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they were most recently revised. Terms in an accepted quote, order confirmation, or written agreement are not changed by later updates to this page.
